TERMS AND CONDITIONS

This agreement (Terms) applies as between you, ("the User") of this Website and Turtle Tutors, the owner of this Website. By registering and using our Website, you indicate that you accept these Terms and Conditions, Privacy Policy and Copyright Notice of use, and that you agree to abide by them. Please read these Terms carefully and agree before using the Turtle Tutors Website. Users who visit the Turtle Tutors Website who are not registered to become a Member similarly affirm that they are bound by our Terms and Conditions each time they access the Turtle Tutors Website. Please be aware that our Terms and Conditions can change at any time in accordance with Clause 20 below. If you do not agree to be bound by these Terms and Conditions, please refrain from using our Website.

USING OUR SERVICE

To fully access the Turtle Tutors services it is important that you have a working email address and that you have access to it, as all tuition requests and messages will be sent to you through it. Please update any changes to your contact details through your Team login area.


Important

You should exercise no lesser degree of caution in appraising what you see on the Turtle Tutors Website than you do offline. Even though Members are prohibited from doing so, people may provide information, or otherwise behave in a way that is unreliable, misleading or even illegal. Furthermore, you should note that people may not necessarily be who they say they are. Your use of Turtle Tutors Service is entirely at your own risk.


Definitions and interpretations

In this agreement ("The Terms") the following terms shall be given the following meanings:

  • "We, ours, us" refers to Turtle Tutors
  • "Turtle Tutors" refers to the business and people running this Website
  • "Contract" refers to the agreement made between the Tutor and Pupil or Pupil's nominee for the Tutor to perform tuition services for the Pupil during that period
  • "Content" refers to any text, graphics, images, icons, audio, video, software, data compilations, page layout, underlying code and any other form of information capable of being stored on a computer that appears on or forms part of this Website
  • "User/ Users" refers to any third party that accesses the Website and is not employed by Turtle Tutors and acting in the course of their employment
  • "Website" refers to the website operated by Turtle Tutors and any sub domains unless expressly excluded by the Terms and Conditions
  • "Service" refers to any online communications infrastructure that Turtle Tutors makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links
  • "Members" refers to a Tutor and a Pupil/Pupil's nominee
  • "Tutor" refers to a person who has the appropriate qualifications and experience to provide tuition services in areas advertised by the Tutor on the  Turtle Tutors Website, with the view of entering into a Contract to provide tuition to a Pupil
  • "Pupil" refers to a person who is using Turtle Tutors in the view of entering into a Contract with a Tutor for the provision of tuition services by the Tutor to the Pupil or Pupil's nominee (parents/guardian)
  • "Abuse" refers to but is not limited to, breach of the Terms and Conditions and use of the Website in such a way as is seen unreasonable by the opinion of Turtle Tutors
  • "Learning Establishment" refers to any provider of education to persons of any age including, but not limited to, schools, colleges, universities and professional/adult education providers
  • In these Terms importing the singular shall include the plural and vice versa; and words importing the masculine gender shall include the feminine gender and vice versa.

Intellectual property rights

  • 2.1 Subject to the exception of Clause 3 of these Terms and Conditions, we are the owner or the licensee of all Content included on the Website, unless uploaded by Users, and in the material published on it. Those works are protected by applicable United Kingdom and International intellectual property and other laws and treaties around the world. All such rights are reserved.
  • 2.2 You may not copy, distribute, show in public or create any derivative work from the Turtle Tutors Service, or any of the material which is found on the Turtle Tutors Website unless properly licensed to do so by us. Please see our Copyright Notice, which forms part of these Terms and Conditions.
  • 2.3 You may print, copy, reproduce, distribute, store or in any other fashion re-use Content from the Website for your personal or educational purposes only unless otherwise indicated on the Website or unless given express written permission to do so by Turtle Tutors. Specifically you agree that:
    • (a) you must not use any part of the Content on the Website for commercial purposes without obtaining a licence to do so;
    • (b) you will not systematically copy Content from the Website with a view to creating or compiling any form of comprehensive collection, compilation, directory or database unless given express written permission to do so by Turtle Tutors; and
    • (c) you may, as a student of a recognised Learning Establishment, use the Content of the Website for educational purposes provided an appropriate reference is given for all Content using a suitable referencing system of your choice or as stipulated by your Learning Establishment.
  • 2.4 Employees of Learning Establishments may use the Content of the Website for teaching purposes subject to the following conditions:
    • (a) no further consent is required for use in non-profit Learning Establishments. This may include, but is not limited to, schools that charge no fees for tuition; and
    • (b) for use in profit-making Learning Establishments, prior written consent is required. This may include, but is not limited to, private schools charging fees, universities and adult education providers.
  • 2.6 If you print off, copy or download any part of our Website in breach of these Terms of use, your right to use our Website will cease immediately and you must, at our discretion, return or destroy any copies of the materials you have made.

Third party intellectual property

  • 3.1 Where expressly indicated, certain Content and the Intellectual Property Rights subsisting therein belong to other parties. This Content, unless expressly stated to be so, is not covered by any permission granted by Clause 2 of these Terms and Conditions to use of Content from the Website. Any such Content will be accompanied by a notice providing the contact details of the owner and any separate use policy that may be relevant.

Obligations of turtle tutors

  • 4.1 The Website has been established to allow a Pupil to contact a Tutor and to allow a Pupil to view a Tutor's profile.
  • 4.2 Turtle Tutors will take all reasonable steps to keep the details of a Tutor and Pupil secure but will not be liable for any unauthorised access to information provided by a Tutor or Pupil on the Turtle Tutors Website (see our Privacy Policy).

Obligations of a tutor

  • 5.1 A Tutor warrants that he is at least 18 years of age.
  • 5.2 A Tutor must be a resident of the United Kingdom and have a permanent residential address in England, Wales, Scotland or Northern Ireland.
  • 5.3 A Tutor must not have a criminal record.
  • 5.4 A Tutor warrants that he has the necessary qualifications and/or experience to provide tuition for the subjects specified on the Website.
  • 5.5 Information provided by a Tutor for registration on Turtle Tutors must be accurate and kept up to date. This includes using a correct name, address, telephone number, email address, qualifications, experience and any other requested information. A Tutor understands that any information entered on the Website will be publicly visible and may appear in the search engine results.
  • 5.6 A Tutor shall enter information in accordance with the database field instructions.
  • 5.7 A Tutor accepts sole responsibility in checking the credibility and true requirements of a Pupil.
  • 5.8 A Tutor acknowledges that a Pupil is entitled to submit feedback following the provision of tuition services. A Pupil will rate a Tutor out of a score of five and submit written feedback. A Tutor will be sent feedback comments from a Pupil by email and will be given the opportunity to approve or decline feedback comments within two weeks for the publication of their feedback on the Tutor's profile. Failure to take action during this time will result in Turtle Tutors having full discretion whether to publish the feedback. Turtle Tutors have full discretion on the right to whether the score information will be published.
  • 5.9 A Tutor acknowledges that we can edit or remove feedback and profiles where it is appropriate to do so.
  • 5.10 A Tutor shall accept full responsibility for the prices quoted for his services on the Website, and for the collection of all fees due to the Tutor from the Pupil. Turtle Tutors are not liable to the Tutor for any fees that have not been paid and will not get involved in any disputes about fees between a Tutor and Pupil.
  • 5.11 A Tutor shall indemnify Turtle Tutors for all claims and liabilities, costs and expenses incurred arising out of any use by the Tutor of the Turtle Tutors Website of any kind of nature known and unknown.
  • 5.12 A Tutor shall take full responsibility for the information they provide about themselves on the Website and must fully indemnify Turtle Tutors in relation to any liability incurred as a result of such information.
  • 5.13 A Tutor must not use obscene or vulgar language.
  • 5.14 A Tutor will not include identifiable information including name, telephone number, email address, postal address, website address, company name, meeting points, tuition agency (or any other organisation through which the Tutor can be contacted) or any other contact information on the Website or in any messages sent to other Members whether through the Website or by any other means of communication. If there is evidence to suggest a Tutor has broken these terms they will be liable to a fine of £100 and will be permanently removed from our Service.
  • 5.15 A Tutor must not in any way be abusive to a Pupil or his nominee on the Website or any other place.
  • 5.16 A Tutor who is registered on a Pay-Per-Pupil basis agrees to pay Turtle Tutors a one-off commencement fee of £14.99 once a Pupil has accepted their request. This payment will be a single online payment made within 14 days from the release of the Pupil's contact details.
  • 5.17 If a Tutor is asked for, and provides details of a credit or debit card, he must ensure that he is:
    • (a) fully entitled to use that card, and
    • (b) it has available funds sufficient to cover the charges which are deducted from it.
  • 5.18 A Tutor shall secure payment from the Pupil for the services they have provided and shall not seek to recover any payments from Turtle Tutors.
  • 5.19 A Tutor is not an employee of Turtle Tutors but operates on a self-employed basis and accepts all responsibilities for Income Tax, National Insurance Contributions and other liabilities payable in relation to fees generated from using the Website.
  • 5.20 A Tutor shall not use the Turtle Tutors Website to advertise, promote his company or to seek tuition through his company. Nor may an agency acting for a company register to promote their services or opportunities. Any tuition agencies or other agencies wishing to promote their services on the Turtle Tutors Website should Contact us in the first instance.
  • 5.21 A Tutor using the Website does so entirely at his own risk. A Tutor must exercise caution when using the Website and entering into a Contract to provide tuition services to a Pupil.

Obligations of a pupil

  • 6.1 Information provided by the Pupil for registration must be correct and accurate. This includes correct name, address, telephone number, email address and other requested information.
  • 6.2 A Pupil who is under 18 years of age must have consent from a parent or a guardian to register, and that parent or guardian must enter into a Contract with a Tutor to provide tuition services.
  • 6.3 A Pupil or Pupil's nominee acknowledges that it is his responsibility to verify the credentials, expertise, references, DBS checks and qualifications of a Tutor whom he proposes or enters into a Contract with.
  • 6.4 A Pupil acknowledges that a Contract shall be entered once finalising the choice of a Tutor and confirming that request to us through the Website, whereupon the Pupil agrees to make a one-off payment of £14.99 immediately to Turtle Tutors to unlock the Tutor's contact details.
  • 6.5 A Pupil acknowledges that by entering into a Contract with a Tutor they agree to make payment to the Tutor for the fees the Tutor has advertised for their services.
  • 6.6 A Pupil acknowledges that a Contract is between the Pupil and Tutor, and we are therefore, not responsible for the performance of obligations neither of a Tutor, nor for collecting and distributing payments from a Pupil to a Tutor.
  • 6.7 If a Pupil is asked for, and provides details of a credit or debit card, he must ensure that he is:
    • (a) fully entitled to use that card, and
    • (b) it has available funds sufficient to cover the charges which are deducted from it.
  • 6.8A Pupil acknowledges that we will send them a feedback comments and scoring form via email, two weeks after the first tuition lesson.This information will be uploaded on the Tutor's Profile page. Please provide accurate feedback on your tuition experience.
  • 6.9 A Pupil agrees not to publish any abusive or defamatory comments towards any Tutor on the Website or in any communications with other Members whether on the Website or any other place.
  • 6.10 A Pupil or Pupil's nominee will not include identifiable information about themselves including telephone number, email address, postal address, website address, company name, meeting points (or any other organisation through which the Pupil can be contacted) or any other contact information on the Website or in any messages posted by the Pupil on the Website or by any other means of communication to other Members. If there is evidence to suggest a Pupil has broken Clause 6.10 we will invoice the Pupil £100 payable within 14 working days.
  • 6.11 A Pupil acknowledges that we are not responsible for any disputes regarding parental consent or any problems that a Pupil or Pupil's nominee has experienced with a Tutor.
  • 6.12 A Pupil acknowledges that we will not be held liable for any incorrect, known and unknown, suspected and unsuspected, disclosed and undisclosed information provided by the Tutor. We offer no guarantee that the information provided by the Tutors on the Website is correct and accurate.

Pay-Per-Pupil Membership and Annual Membership

  • 7.1 We reserve the right to refuse Service to anyone at any time without notice for any reason. This includes the right to delete a Members profile and offer a refund on Annual Membership at our sole discretion should we deem that the Member fails to conform to the Terms and Conditions on our Website.
  • 7.2 A Tutor can subscribe for the Annual Membership when first registering or upgrade their account online by clicking the Upgrade button in their Team area. Tutors will be charged a fee of £35 via an online payment for a period of 12 months, which is charged in advance from the date at which the Membership commences. A Tutor will be sent an email on the 11th month to renew their Membership, if they wish to; otherwise a Tutor will be placed on a Pay-Per-Pupil account at the end of the subscription period.
  • 7.3 When a Tutor upgrades to an Annual Membership, a binding Contract is formed between you and us on these Terms. The Service we provide under that Contract includes unlimited tuition requests during the period of 12 months, in exchange of a one-off annual payment of £35. Tuition requests will be sent to you via the designated email address you provide during the registration process and you will not receive any further fees to pay during this period for successful tuition requests made to you. If you choose to cancel your Annual Membership you will not be entitled to a refund for the payment you have paid in advance for the period following your cancellation.
  • 7.4 A Tutor who upgrades to an Annual Membership will not be refunded any previous fees paid for the services they have provided through the Website on a Pay-Per-Pupil Membership.
  • 7.5 Members may cancel their Membership at any time by logging into their account in the Team area on the Website.
  • 7.6 Membership is not transferable from one Member profile to another.
  • 7.7 Membership does not apply to Companies, Agencies, Schools, Centres or other organisations.
  • 7.8 Tutor profiles will be checked by us. Failure to enter correct details will consequently delay the activation of the Tutor's profile or result in the deletion of a Tutor's profile.
  • 7.9 A Tutor who fails to pay the commencement fee within 14 days of the exchange of details will have their account suspended until payment has been made.
  • 7.10 We are free to change the Membership pricing, conditions, options, and renewal terms at any time.

Payments and refunds

  • 8.1 All prices are shown in UK pound sterling and billed in UK pound sterling.
  • 8.2 You acknowledge that we are entitled to alter the amount of our fees from time to time, provided that such amount or basis is clearly stated at the time when you agree to take the relevant Turtle Tutors Service or prior to any fees being taken.
  • 8.3 In the event that any of the provisions of sub-clause 9 below are not followed, we reserve the right to suspend or terminate a Members access to the Service without offering a refund.

Refunds for pupils

  • 8.4 When you purchase the Tutor's contact details and in the event that the Tutor is not available according to the agreement made via the Website, you should contact us informing us what problem you are experiencing. We shall then at no extra cost to you, use our reasonable efforts to try and find an alternative Tutor to provide a tuition service.
  • 8.5 In the unlikely event that we are unable to find a suitable Tutor to meet your requirements we will offer a refund of the fees paid by you to access that Tutor's contact details.
  • 8.6 In the unlikely event that the contact details provided to you for your Tutor are inaccurate and not up to date, we will offer a refund of the fees paid by you to access that Tutor's contact details. If you believe that you are entitled to a refund please contact us outlining the details for the refund. This information will be verified with the Tutor in question. You are advised to submit your refund request within a reasonable time following the release of the Tutor's contact details.

Refunds for tutors

  • 8.7 Tutors who subscribe for the Annual Membership and choose to terminate their Membership will not be entitled to a refund for the payments paid in advance for the period following cancellation, except in the circumstances below:
    • (a) if we change our Terms and that change is to your detriment, you may terminate any agreement with us, by contacting us at enquiries@turtletutors.co.uk, in which case we shall refund any sums paid by you in relation to those Website Services to be performed after the date of changes of these Terms.

Use of communication facilities and content submission

  • 9.1 When using the Team area and / or any other Service, and when submitting Content to the Website, you should do so in accordance with the following rules:
    • (a) you must not use obscene or vulgar language;
    • (b) you must not submit Content that is unlawful or otherwise objectionable. This includes, but is not limited to Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist;
    • (c) you must not submit Content that is intended to promote or incite violence;
    • (d) it is advised that posts on message boards, chat facilities or similar and communications with Turtle Tutors are made using the English language(s) as we may be unable to respond to enquiries submitted in any other languages;
    • (e) you must not post links to other websites containing any of the above types of Content;
    • (f) the means by which you identify yourself must not violate these Terms of use or any applicable laws;
    • (g) you must not engage in any form of commercial advertising. This does not prohibit references to businesses for non-promotional purposes including references where advertising may be incidental;
    • (h) you must not impersonate other people, particularly employees and representatives of Turtle Tutors or our affiliates;
    • (i) you must not attack the Website via a denial of service attack or a distributed denial of service attack;
    • (j) you must not use our Service for unauthorised mass-communication such as "spam" or "junk mail"; and
    • (k) you must not misuse the Website (including without limitation, hacking, attempting to gain unauthorised access to the Website or any server on which the Website is stored, or by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful). By breaching this provision you may commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.
  • 9.2 You acknowledge that Turtle Tutors reserves the right to monitor all communications made to us or using our Service.
  • 9.3 In order to use the Team area and any other communication facility that may be added in the future or to submit Content, you are required to submit certain personal details. By continuing to use this Website you represent and warrant that:
    • (a) any information you submit is accurate and truthful; and
    • (b) you will keep this information accurate and up-to-date.
  • 9.4 By submitting Content you warrant and represent that you are the author of such Content or that you have acquired all of the appropriate rights and / or permissions to use the Content in this fashion. We accept no responsibility or liability for any infringement of third party rights by such Content. Furthermore, you grant us a licence to modify the Content as necessary for its inclusion on the Website. We accept no responsibility or liability for any infringement of third party rights by such Content.
  • 9.5 Turtle Tutors will not be liable in any way or under any circumstances for any loss or damage that you may incur as a result of such Content, nor for any errors or omissions in the Content. Use of and reliance upon such Content is entirely at your own risk.
  • 9.6 Unless a Member informs us otherwise, in advance of posting, in writing, and Turtle Tutors agrees to any terms or restrictions, all Content submitted is for publication on the Website and other such uses as we may deem appropriate under a royalty-free, perpetual basis.
  • 9.7 Content submitted by Members is screened by us prior to appearing online. We retain the right to exercise our sole discretion to remove or relocate any Content as we deem appropriate without the consent of the author. If you wish to enquire as to the removal of Content, please submit your query to enquiries@turtletutors.co.uk. This does not constitute an undertaking to explain our actions.

Privacy

  • 10.1 We process information about you in accordance with our Privacy Policy. By using our Website, you consent to such processing and you warrant that all data provided by you is accurate.

Disclaimer

  • 11.1 Turtle Tutors makes no warranty or representation that the Website will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, or that it will be secure.
  • 11.2 Whilst every reasonable endeavour has been made to ensure that all information provided on this Website will be accurate and up to date, Turtle Tutors makes no warranty or representation that this is the case. We make no guarantee of any specific results from the use of our Services.
  • 11.3 No part of this Website is intended to constitute advice and the Content of this Website should not be relied upon when making any decisions or taking any action of any kind.
  • 11.4 The information on this Website is not designed with commercial purposes in mind. Commercial use of the Content of this Website is forbidden under Clause 2.3
    • (a) of these Terms and Conditions. Any such use constitutes a breach of these Terms and Conditions and Turtle Tutors makes no representation or warranty that this Content is suitable for use in commercial situations or that it constitutes accurate data and/or advice on which business decisions can be based.
  • 11.5 Whilst every effort has been made to ensure that all descriptions of Services available from Turtle Tutors correspond to the actual Services available, Turtle Tutors is not responsible for any variations from these descriptions.
  • 11.6 Turtle Tutors has no control over or responsibility for the truth or accuracy of any material available on our Website, whether provided by Members or others.

Accessing our Website

  • 12.1 The Service is provided "as is" and on an "as available" basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law we provide no warranties (expressed or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.
  • 12.2 Turtle Tutors accepts no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

Limitation of liability

  • 13.1 To the maximum extent permitted by law, Turtle Tutors accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Website or any information contained therein. Users should be aware that they use the Website and its Content at their own risk.
  • 13.2 Although care is taken to ensure that the information on the Website is accurate and up to date, we cannot accept any responsibility for mistakes or omissions.
  • 13.3 Nothing in these Terms and Conditions excludes or restricts Turtle Tutors liability for death or personal injury resulting from any negligence or fraud on the part of Turtle Tutors.
  • 13.4 Members agree to compensate Turtle Tutors for all (if any) liabilities, claims, costs and expenses (actual or consequential) that we may suffer, which arise out of or in connection with your use of the Website and/or the Services, in particular:
    • (a) your involvement in any Contract for providing a tuition service (including any breach of the Contract);
    • (b) you breach any provision of these Terms; and
    • (c) your contravention of any law or rights of a third party.
  • 13.5 Although reasonable care is taken to ensure that the Website and the materials available from it are virus-free, we cannot accept responsibility for any viruses which may affect any material you may download and we do not accept liability for any damage to your computer system or loss of data that results from the use of the Website.
  • 13.6 Turtle Tutors do not guarantee to secure a Tutor for a Pupil.
  • 13.7 Turtle Tutors accept no responsibility for any grade received by a Pupil or any consequence that examination grades entail.
  • 13.8 Whether you are a Member or a non-Member, you acknowledge that we are not and cannot be responsible for the behaviour of Members whether on the Turtle Tutors Service or outside of it. We only provide a venue where the Turtle Tutors Service may be accessed. In particular, you should be aware that we do pre-screen and monitor the material contributed by Members.
  • 13.9 The total liability in contract tort (including negligence or breach of statutory duty), in misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of these Terms and Conditions shall be limited to the price paid by the Member to Turtle Tutors under a Contract.

Severance

  • 14.1 In the event that any term of these Terms and Conditions is held to be invalid or unenforceable by judicial decree or decision, the remainder of these Terms and Conditions shall remain valid and enforceable.

Third party rights

  • 15.1 A person who is not a party to these Terms and Conditions has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of these Terms and Conditions.

Previous terms and conditions

  • 16.1 In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.

Notices

  • 17.1 All notices/communications shall be given to us by email sent to enquiries@turtletutors.co.uk. Such notices will be deemed received the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.

Law and jurisdiction

  • 18.1 This Agreement shall be governed and construed in all respects by the laws of England and Wales. You agree that any claim or dispute you may have against Turtle Tutors must be resolved by the courts of England and Wales. You and Turtle Tutors both agree to submit to the exclusive jurisdiction of the English Courts.

Trade marks

  • 19.1 Turtle Tutors is a UK registered trade mark.

Variation

  • 20.1 We may revise these Terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes made, as they are binding on you. Some of the provisions contained in these Terms of use may also be superseded by provisions or notices published elsewhere on our Website.
  • 20.2 All Members acknowledge the right of Turtle Tutors at their discretion to vary the features of the Website and the Terms of use at any time. We reserve the right to change these Terms and Conditions from time to time, and post the new version on our Website. When we do so, we notify Members that there are changed terms in the 'News' section and post a link to the new Terms and Conditions. These Terms and Conditions, and any new versions of it in the future, will take effect immediately.
